Pop Spot, LLC agrees to provide Vendor a booth at the Event (10ft x 10ft), Vendor agrees to pay Pop Spot, LLC a $400 nonrefundable deposit to participate in and sell Products or Services at the Event, Pop Spot, LLC agrees to provide Vendor a booth at the Event (10ft x 20ft), Vendor agrees to pay Pop Spot, LLC a $500 nonrefundable deposit to participate in and sell Products or Services at the Event, Pop Spot, LLC agrees to provide Vendor a booth at the Event (20ft x 20ft), Vendor agrees to pay Pop Spot, LLC a $600 nonrefundable deposit to participate in and sell Products or Services at the Event. In addition to the booth fee, after the event Pop Spot, LLC requires a 10% commission of total vendor sales (gross) due before exiting the event with a proof of sales attached. Vendor is responsible for maintaining adequate insurance for Vendor’s Products, Services, and employees. Pop Spot, LLC will not provide insurance covering Vendor and will not be responsible for any loss or damage. Vendors must present this Agreement, completed and signed, and a valid state driver’s license or state issued identification card for each Vendor Event participant. Food vendors must comply with Event Venue requirements, including any required City permits. Vendor will conduct business in a professional, courteous, and ethical manner and without regard to race, religion, national origin, sex, gender, sexual preference, age, disability, veteran status or political affiliation. Violation of state and local ordinances and/or Pop Spot, LLC policies and procedures may result in eviction of Vendor from the Event. Pop Spot LLC’s interpretation of same shall be binding. Pop Spot, LLC reserves the right to cancel this Agreement at any time without liability, except that any deposit made to reserve the Booth will be refunded. Pop Spot, LLC will provide piping and draping for the Booth. Vendor is responsible for all other setup and breakdown and is expected to remain open during all hours of the Event. Setup will occur on November 10th at 8am-11:59am, and takedown must be complete by November 11th at 11:59pm. Vendor will be charged and hereby agrees to pay a $500 penalty for breaking down prior to the end of the Event. Vendor, nor anyone employed by Vendor, shall be deemed for any purpose to be the employee, agent, servant, or representative of Pop Spot, LLC in the performance of any work or services, or part thereof, at or in connection with the Event. The relationship shall at all times be that of an independent contractor. This Agreement does not contemplate the payment of taxes or other amounts due to state or federal governments. Pop Spot, LLC and Vendor are solely responsible for the payment of taxes assessed to each. This Agreement shall be construed and enforced in accordance with the laws of the state of Texas and any applicable federal law. The venue of any litigation between Pop Spot, LLC and Vendor shall be in Dallas County, Texas. This Agreement may not be assigned, sold, or otherwise transferred by either party hereto. By paying this fee you agree to the terms are conditions above.
